Our M & A Process

On the “buy side,” we represent purchasers in acquiring a targeted business. The purchaser may be an individual, a company or a private equity group. We may initiate the transaction by bringing the potential acquisition idea to the client or the client may ask our assistance in completing a transaction with a target they have already identified or even with whom they have initiated discussions. Depending on circumstances, we assist our clients by:

• Valuing a target business
• Analyzing the financial impact of the acquisition
• Performing due diligence
• Developing the purchase proposal and negotiating strategy
• Negotiating the terms of the purchase
• Arranging financing as required

Our M & A Process

On the “sell side,” we represent sellers on an exclusive basis and manage the entire process of selling a company or one of its business units. We also represent companies which have received unsolicited merger proposals or have had discussions/negotiations with a friendly third-party. We assist our clients by:

• Determining the expected valuation range for the business
• Performing due diligence
• Preparing a memorandum describing the business
• Identifying and prioritizing potential buyers
• Developing the appropriate marketing strategy
• Communicating with and soliciting interest from potential buyers
• Evaluating offers
• Helping negotiate the transaction
• Providing a fairness opinion, if appropriate
