On the “buy side,” we represent purchasers in acquiring a targeted business. The purchaser may be an individual, a company or a private equity group. We may initiate the transaction by bringing the potential acquisition idea to the client.
Or the client may ask our assistance in completing a transaction with a target they have already identified or even with whom they have initiated discussions.Depending on circumstances, we assist our clients by:
- Valuing a target business
- Analyzing the financial impact of the acquisition
- Performing due diligence
- Developing the purchase proposal and negotiating strategy
- Negotiating the terms of the purchase
- Arranging financing as required

On the “sell side,” we represent sellers on an exclusive basis and manage the entire process of selling a company or one of its business units. We also represent companies which have received unsolicited merger proposals or have had discussions/negotiations with a friendly third-party. We assist our clients by:
- Determining the expected valuation range for the business
- Performing due diligence
- Preparing a memorandum describing the business
- Identifying and prioritizing potential buyers
- Developing the appropriate marketing strategy
- Communicating with and soliciting interest from potential buyers
- Evaluating offers
- Helping negotiate the transaction
- Providing a fairness opinion, if appropriate
